Last updated: 1 April 2025. These Terms govern your use of the CareShift platform and services provided by CareShift Ltd.
“CareShift”, “we”, “our”, or “us” refers to CareShift Ltd, a company registered in England and Wales (Company No. 12345678), with registered offices at 1 Canada Square, Canary Wharf, London, E14 5AB.
“User”, “you”, or “your” refers to any individual or organisation accessing or using the CareShift platform, including Workers, Agencies, and Care Organisations.
“Platform” means the CareShift web application, APIs, and associated services accessible at careshiftltd.com and related domains.
“Services” means all features, tools, and functionality made available through the Platform.
To use the Platform, you must be aged 18 or over, have the legal right to work in the United Kingdom (where applicable), and provide accurate, current, and complete information during registration.
You are responsible for maintaining the security of your account credentials and for all activity occurring under your account. You must notify us immediately at support@careshiftltd.com if you suspect unauthorised access to your account.
We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent or harmful activity.
You may use the Platform only for lawful purposes and in accordance with these Terms. You must not:
Workers using the Platform to find and accept shifts acknowledge that CareShift acts as a technology intermediary, not as an employer or employment agency within the meaning of the Employment Agencies Act 1973 unless separately contracted.
Workers are responsible for maintaining the accuracy and currency of their compliance documents (including DBS certificates, right-to-work documentation, and professional registrations). CareShift provides automated reminders as a courtesy only — responsibility for compliance rests with the Worker.
Workers must not misrepresent their qualifications, experience, or right to work. Fraudulent misrepresentation may result in immediate account suspension and referral to relevant authorities.
Care Organisations and Agencies using the Platform to post shifts and manage workers acknowledge responsibility for complying with all applicable employment law, including the Agency Workers Regulations 2010, the Working Time Regulations 1998, and relevant CQC standards.
Organisations must not post shifts requiring qualifications or DBS levels that are inaccurate or designed to exclude protected classes in a discriminatory manner contrary to the Equality Act 2010.
Subscription fees are billed monthly or annually in advance in British Pounds Sterling (GBP) and are non-refundable except as required by law or as expressly stated in our refund policy.
All prices are exclusive of VAT. VAT will be charged at the applicable UK rate where required.
Late payment of invoices may result in suspension of access to paid features. We reserve the right to charge statutory interest on overdue amounts under the Late Payment of Commercial Debts (Interest) Act 1998.
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Platform, you consent to our data practices as described therein.
You retain ownership of any data you upload to the Platform. You grant CareShift a limited licence to process that data to provide the Services.
All rights in the Platform, including software, design, trademarks, and content created by CareShift, remain the exclusive property of CareShift Ltd. Nothing in these Terms transfers any intellectual property rights to you.
You may not copy, modify, distribute, or create derivative works based on the Platform without our prior written consent.
To the fullest extent permitted by English law, CareShift's total liability to you for any claims arising from these Terms or use of the Platform shall not exceed the total fees paid by you to CareShift in the 12 months preceding the claim.
We are not liable for indirect, consequential, or incidental losses, including loss of profits, loss of data, or business interruption. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.
CareShift is not responsible for the conduct of Workers, Agencies, or Care Organisations on or off the Platform.
Either party may terminate these Terms at any time by providing 30 days' written notice. We may terminate immediately if you materially breach these Terms.
On termination, your access to the Platform will cease. You may request an export of your data within 30 days of termination in accordance with our Privacy Policy.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before commencing any legal proceedings, we encourage you to contact us to resolve disputes informally. Where you are a consumer, you may also use the EU Online Dispute Resolution platform where applicable.
We may update these Terms from time to time. We will notify registered users of material changes by email and in-platform notification at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
